1. What this application is, and is not

Submitting this application does not create representation, employment, agency, partnership, joint venture or any promise of work. NOIRÉ accepts or declines applications at its sole discretion and is not obliged to give reasons.
Representation begins only when a separate written representation agreement is signed by both you and NOIRÉ. Until that happens, nothing in this application obliges either of us to anything.
No booking, casting, fee, minimum amount of work or exclusivity is offered, implied or guaranteed by this application or by its acceptance.

2. Age and eligibility

You confirm that you are at least 18 years of age at the date of this application. NOIRÉ represents adults only, without exception, and no part of this platform is available to anyone under 18.
Your date of birth is checked at submission and your identity and age are independently verified against government-issued identification before any representation begins. An application that cannot be verified is declined.
You confirm you are legally entitled to perform the categories of work you have selected in the country where you live and in any country where you agree to work, and that doing so does not breach any law, visa condition, or agreement binding on you.
Providing false information about your age is a serious matter. Where NOIRÉ has reason to believe an applicant is a minor, the application is refused, the material is preserved and the matter is reported to the appropriate authority.

3. Truthfulness and verification

You confirm that every statement, measurement, image and link in this application is true, current, and relates to you.
You consent to NOIRÉ verifying your identity, age and the authenticity of your submitted material, including through third-party verification providers, and to NOIRÉ retaining a record of that verification.
An application found to contain false or misleading information is declined, and a record of that decision is retained for as long as NOIRÉ has a legitimate interest or legal obligation to keep it.

4. Applying freely and on your own behalf

You confirm you are applying of your own free will, on your own behalf, and that no other person has submitted this application for you, is requiring you to submit it, or stands to control your work or earnings.
If any of that is not true — if someone is pressuring, coercing, controlling or trafficking you — stop now and contact us directly, or contact the South African Human Trafficking Hotline on 0800 222 777. NOIRÉ will not proceed with an application it believes is not freely made.
You may withdraw this application at any time, for any reason, without explanation and without consequence.

5. The nature of the work

NOIRÉ represents talent for adult creative and commercial work. Every work category offered on this platform involves nudity, and several involve explicit sexual content. You should apply only if you are willing to undertake adult work.
The categories and sub-options you select are declared interests. They describe what you are open to; they do not authorise anything.
Formal, category-by-category consent is recorded with you during onboarding, is separate from this application, is revocable by you at any time with justification, and is the only thing that ever makes a category of work eligible to be offered to you. No booking may exceed the consent on record.
You will never be asked to do anything outside the categories you have consented to, and declining any offer of work has no effect on your representation.

6. What NOIRÉ does not do

NOIRÉ represents talent for lawful creative and commercial productions. It does not broker, advertise, arrange, facilitate or profit from sexual services of any kind.
NOIRÉ does not act as your lawyer, accountant, tax adviser or immigration adviser. You are responsible for your own tax, and for any professional advice you need.

7. Your personal information

Your personal information is processed under the Protection of Personal Information Act, 2013 (POPIA), as described in the privacy policy, which forms part of these terms.
Your legal name, date of birth, contact details, home city, identity documents and verification records are private. They are visible to authorised NOIRÉ staff only and never appear on a public profile or in any client-facing material.
Ethnicity is special personal information under POPIA. It is collected only with your consent, "Prefer not to say" is always an available answer, and declining to disclose it has no effect on your application.
You have the right to ask what personal information NOIRÉ holds about you, to correct it, to object to its processing, and to request its deletion. Requests are handled as described in the privacy policy.
NOIRÉ retains application material for as long as it has a legitimate interest or legal obligation to do so, and deletes it in line with the retention schedule in the privacy policy.

8. Safety, conduct and your right to stop

On any NOIRÉ production you may stop at any time and without penalty. Justification is required.
A closed set, a chaperone of your choosing, and an agreed list of what will and will not happen are available to you on request for any production involving nudity or explicit content.
NOIRÉ does not tolerate harassment, coercion, pressure to exceed agreed consent, or attempts to renegotiate consent on set. Report anything of this kind and it will be acted on.

9. Content, ownership and use

Material you submit with this application remains yours. The licence you grant over it is set out in the model release, which is a separate document you accept separately.
What a client may do with content from a production is defined in that production’s own agreement and release, signed for that production, with its own defined usage, territory and term. That agreement sets the client’s licence; it does not alter NOIRÉ’s ownership of the content.
Nothing in this disclaimer transfers ownership of the material you submit with your application. That material stays yours, and the licence you grant over it is the one set out in the model release.
All material and content created with NOIRÉ such as photo and video shoots remain the sole property of NOIRÉ. NOIRÉ has full copyright and licensing rights to all content created with and through NOIRÉ.

10. Payment

No payment is due to either party in respect of this application. Nothing here entitles you to a fee.
Compensation for a production, where any is agreed, is set out in that production’s own agreement before the work takes place.
NOIRÉ does not charge applicants or represented talent any fee for representation, registration, portfolio production, training, or placement on this platform. If anyone asks you to pay for any of those things in NOIRÉ’s name, it is not us — contact us directly.

11. Your acknowledgement and assumption of risk

You acknowledge that adult creative work carries inherent risks, including physical risk on set, reputational risk, the risk that published content is seen by people you did not anticipate, and the risk that content is copied or redistributed by third parties beyond anyone’s control. You accept those risks knowingly and voluntarily.
You acknowledge that once content is published or delivered to a client, it can be copied, screenshotted, recorded or redistributed by others, and that no technical measure can prevent this. NOIRÉ applies watermarking, signed and expiring links and access controls, but does not warrant that content cannot be copied.
You confirm you have had the opportunity to read these documents in full, to take independent legal advice on them, and to ask questions before accepting. You are not relying on any statement, promise or representation made by NOIRÉ that is not written in these documents.
You confirm you are not under the influence of any substance that impairs your judgement at the time of accepting, and that you are entering into this freely.

12. You are not an employee

Nothing in this application or in any representation agreement creates a contract of employment, a partnership, a joint venture, or a franchise between you and NOIRÉ. You engage with NOIRÉ as an independent professional.
You are solely responsible for your own income tax, VAT where applicable, provisional tax returns, retirement provision, medical cover, and any registration required to work lawfully in your jurisdiction. NOIRÉ does not deduct or withhold on your behalf and makes no contribution.
You are responsible for your own insurance, including any personal accident, disability, income protection or public liability cover you consider appropriate. NOIRÉ does not insure you and does not hold cover on your behalf.
You control when, whether and for whom you work. Declining any offer of work has no effect on your representation.

13. Third parties, clients and productions

NOIRÉ introduces talent to clients. It does not control a client’s premises, personnel, equipment, conduct, production standards, or how a client uses content once licensed under a production agreement.
NOIRÉ is not liable for the acts or omissions of any client, production company, photographer, videographer, crew member, other model, venue, contractor, agent, or any other third party, whether or not that party was introduced by NOIRÉ, and whether or not the work arose through NOIRÉ.
Where a third party breaches its agreement with you, your remedy is against that third party. NOIRÉ will provide reasonable assistance and the records it holds, but is not a guarantor of any third party’s performance, solvency, payment or conduct.
NOIRÉ does not guarantee that any client will book you, pay you, credit you, use your content, or use it in the manner discussed.

14. The platform and its services

The NOIRÉ platform, its portals, galleries and communications are provided on an "as is" and "as available" basis. NOIRÉ does not warrant that they will be uninterrupted, error-free, secure against every attack, or free of loss of data.
NOIRÉ does not warrant any particular outcome from applying, from being represented, or from any content produced, including any level of exposure, income, bookings, career progression or reputation.
To the fullest extent permitted by law, all warranties, conditions and terms implied by statute or common law are excluded, except those that may not lawfully be excluded.

15. Limitation of liability

To the fullest extent permitted by South African law, NOIRÉ, its directors, officers, employees, contractors and agents are not liable to you for any indirect, incidental, special, punitive or consequential loss; for loss of profit, income, opportunity, anticipated savings, goodwill, reputation or data; or for any loss arising from the acts or omissions of a third party — whether the claim arises in contract, delict, statute or otherwise, and whether or not NOIRÉ was advised such loss was possible.

16. Your indemnity to NOIRÉ

You indemnify NOIRÉ and hold it harmless against any claim, demand, action, loss, damage, penalty, and reasonable legal cost arising from: any breach by you of these documents or of any production agreement; any statement or material you have provided that is untrue, inaccurate, or not yours to provide; any infringement by your submitted material of a third party’s rights; any breach by you of another agency’s or platform’s exclusivity; and any unlawful act or omission by you.

17. Force majeure

NOIRÉ is not liable for any failure or delay in performing any obligation where that failure or delay is caused by an event beyond its reasonable control, including natural disaster, fire, flood, epidemic, war, civil unrest, terrorism, strike, load shedding or other utility failure, failure of a telecommunications or hosting provider, cyber-attack, or an act of government or regulator.
Where such an event prevents a production, NOIRÉ will use reasonable efforts to reschedule, but is not liable for any loss you suffer as a result.

18. Time limit for claims

Any claim you bring against NOIRÉ arising from your application, your representation, or content covered by these documents must be brought within 1 month of the date you first became aware, or reasonably ought to have become aware, of the facts giving rise to it. After that period the claim is waived, to the fullest extent the law permits.

19. Governing law and disputes

These terms are governed by the law of the Republic of South Africa, and the South African courts have jurisdiction over any dispute arising from them.
Nothing in these terms limits any right you have under South African law that cannot lawfully be limited, including your rights under POPIA and the Consumer Protection Act.

20. Changes to this wording

This wording is versioned. The version you accepted is recorded with your application, so an acceptance is always tied to the exact text that was on screen when you gave it.
If the wording changes materially, NOIRÉ will seek acceptance of the new version rather than treating an old acceptance as covering it.

Model release

1. What this release covers

This release covers the photographs, video, audio and other material you submit with this application, and your appearance and likeness in the content of any production you undertake with NOIRÉ while represented.
It is granted by you to NOIRÉ Studio and NOIRÉ Agency, and to anyone acting on their written authority for the purposes set out below.
Each production may also have its own release, signed for that production, defining the usage a client receives. Where that release and this one differ on client usage, the production release governs.

2. The licence you grant

You grant NOIRÉ a non-exclusive, worldwide, royalty-free licence to use, reproduce, edit, crop, resize, adapt, publish and display the content covered by this release for NOIRÉ’s own marketing and promotional purposes. Where NOIRÉ already owns the content, this licence is your consent to the use of your likeness in it rather than a grant of rights in the content itself.
That includes the NOIRÉ website, social media channels, portfolios, showreels, printed and digital promotional material, advertising for NOIRÉ’s own services, award and festival submissions, and presentations to prospective clients.
Editing for marketing means colour, crop, format, length and composition. It does not extend to altering your likeness in a way that misrepresents you, or to placing you in a context that implies conduct or views that are not yours.
The licence includes the right to use your stage name and represented likeness alongside the content in that marketing.

3. What the licence does not include

It does not transfer ownership of the material you submit with this application. That material stays yours, and you continue to own your likeness. Content created with NOIRÉ on a production is owned by NOIRÉ, as set out in section 9 of the legal disclaimer.
It does not permit NOIRÉ to sell, license or syndicate your content to a third party as a product in its own right. Client usage is granted only through a production agreement, with its own defined scope, term and territory.
It does not permit use that is defamatory, that misrepresents you, or that implies your endorsement of a third-party product or cause without your separate agreement.
It does not permit the use of your legal name, date of birth, contact details, home city or identity documents in any marketing. Those remain private under the disclaimer and the privacy policy.
It does not create consent to any category of work. See section 6.

4. Your warranties

You confirm that you either own the material you submit or have the right to submit it and to grant this licence over it.
You confirm that every person appearing in material you submit is an adult, is identifiable to you, and has consented to its use for this purpose. Do not submit material containing anyone else without their permission.
You confirm that granting this licence does not breach any agreement you have with another agency, studio, platform or person.
If any third-party material has been submitted in error, tell us and it will be removed.

5. Withdrawing this licence

You may withdraw this licence at any time by contacting NOIRÉ in writing.
On withdrawal, NOIRÉ stops using the content in any new marketing immediately, and removes it from channels under NOIRÉ’s direct control — its website, its own social accounts and its active portfolios — within a reasonable period, and in any event within 30 days.
Material that has already been printed, distributed, broadcast, cached by third parties, downloaded by others, or published by a client under a production agreement cannot always be recalled. NOIRÉ will tell you honestly what can and cannot be reached.
A record of the content and of your withdrawal may be retained where a legal obligation, a dispute, or the verification record requires it. That retained copy is not used for marketing.
Withdrawal of this licence does not by itself end your representation, and does not affect any production agreement already signed.

6. Consent still governs the work

This release concerns the use of content. It does not concern what work you agree to do.
Your recorded, category-by-category consent governs what work you are offered and what a client may license. Nothing in this release creates, implies, widens or renews consent to any category of work you have not separately granted.
Withdrawing consent to a category of work does not automatically withdraw this licence over content already produced, and withdrawing this licence does not alter your consent settings. They are separate, and you control both.

7. Attribution and privacy

NOIRÉ will credit you by your stage name where the format allows and where you have asked to be credited. You may ask to be used without credit.
Content used in marketing may carry a NOIRÉ watermark. Content shown in a private proofing gallery carries a watermark identifying the viewer, so that a leaked image can be traced.
Your privacy settings and the disclaimer’s section 7 apply to this release in full.

8. Payment

This licence is granted royalty-free. No payment is due to you for NOIRÉ’s marketing use of the content, and none is due from you.
Compensation for a production, where any is agreed, is set out in that production’s own agreement, and is unaffected by this release.

9. Waiver of inspection and approval

You waive any right to inspect or approve the finished content, the copy that accompanies it, the crop, the edit, or the context in which NOIRÉ uses it for marketing, provided the use falls within section 2 and does not breach section 3.
You waive any claim based on the manner in which the content is used within that scope, including any claim for defamation, invasion of privacy, breach of personality rights, or false light, to the fullest extent South African law permits such a waiver.
This waiver does not extend to use that is outside the licence, that misrepresents you, that breaches section 3, or to any liability that may not lawfully be waived.

10. Your indemnity and warranties

You indemnify NOIRÉ, its staff, its owners, its partners, its subsidiaries, its clients, and hold it harmless against any claim, loss, damage, penalty and reasonable legal cost arising from a breach of the warranties you gave in section 4, including any claim by a third party appearing in material you submitted, and any claim that your material infringes another person’s rights.

11. Redistribution beyond NOIRÉ’s control

You acknowledge that any content published or delivered can be copied, screenshotted, recorded, scraped, mirrored or redistributed by third parties, and that no technical measure prevents this.
NOIRÉ applies watermarking, per-viewer marking on private galleries, signed and expiring links, and access controls. These reduce and help trace misuse; they do not prevent it, and NOIRÉ does not warrant that they will.
NOIRÉ is not liable for the unauthorised copying, redistribution, alteration or misuse of content by any third party, including a client, another model, a viewer, or an attacker, except to the extent such liability arises from NOIRÉ’s own gross negligence, fraud or intentional wrongdoing.
Where NOIRÉ becomes aware of unauthorised use it will tell you, provide the records it holds, and cooperate with any action you take. It is not obliged to litigate on your behalf.

12. Limitation of liability under this release

To the fullest extent permitted by South African law, NOIRÉ is not liable to you for any indirect, incidental, special, punitive or consequential loss arising from the use of content under this release, nor for loss of profit, income, opportunity, goodwill or reputation.
NOIRÉ’s total aggregate liability under this release is limited as set out in section 15 of the legal disclaimer, and the two limits are one combined cap rather than two separate ones.
Nothing in this release excludes or limits any liability that South African law does not permit to be excluded or limited, including liability for death or personal injury caused by gross negligence, for fraud, for intentional wrongdoing, or under POPIA or the Consumer Protection Act. Reserving these is what allows the remainder of this section to take effect rather than being struck down in full.

13. Severability and survival

If any provision of this release, or part of one, is found invalid or unenforceable, it is severed and the remainder continues in full force. Where a provision would be enforceable if its scope were reduced, it is read as reduced to the minimum extent necessary rather than struck out.
Sections 4, 9, 10, 11 and 12 survive the withdrawal of this licence and the ending of your representation, in respect of any content used while the licence was in force.

14. Term, law and changes

This licence runs from the date you accept it until you withdraw it under section 5.
This release is governed by the law of the Republic of South Africa, and the South African courts have jurisdiction over any dispute arising from it. Nothing in it limits any right you have under South African law that cannot lawfully be limited.
This wording is versioned, and the version you accepted is recorded with your application. If it changes materially, NOIRÉ will seek acceptance of the new version rather than relying on an old one.
